Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Versable platform, services, and related applications (the “Services”) provided by Versable AI Inc. dba Versable (“Versable,” “we,” “our,” or “us”). By using the Services, you agree to be bound by these Terms. If you use the Services on behalf of a company, you represent and warrant that you have authority to bind that entity.

1. Use of Services

You may use the Services only in compliance with these Terms and all applicable laws and regulations. You are solely responsible for all activity under your account. We reserve the right to suspend or terminate access immediately if we determine you have violated these Terms.

2. What We Do

Versable provides an AI-powered product data enhancement platform for the automotive aftermarket. Our Services include:

  1. Scraping from publicly available web sources.
  2. AI-generated catalog content such as titles, descriptions, attributes, and other product data.
  3. Image generation based on customer inputs and authorized sources.

3. Customer Data & Privacy

You retain ownership of all data, files, and content you provide to the Services (“Customer Data”).

  • No Model Training: We do not use Customer Data to train or improve our AI models without your explicit written consent.
  • Limited License to Versable: You grant Versable a worldwide, non-exclusive, royalty-free license to use Customer Data solely as necessary to provide and maintain the Services.

4. AI-Generated Content

The Services may generate content (“AI Outputs”) based on your inputs and authorized sources.

  • License: Subject to these Terms, we grant you a worldwide, royalty-free, perpetual license to use AI Outputs for any lawful purpose, including after your subscription ends. This license excludes any Third-Party Content embedded in the Outputs.
  • Third-Party Content Responsibility: You are solely responsible for securing all necessary rights before any public or commercial use of AI Outputs containing Third-Party Content.
  • Accuracy: Our multi-step validation engine is designed to minimize hallucinations and ensure high accuracy. However, AI Outputs, like human-created work, may contain errors, omissions, or outdated information. You are solely responsible for reviewing and validating all AI Outputs before relying on them.

5. Third-Party Content & Scraped Data

Some features may retrieve, display, or make available text, images, or other content from publicly accessible or customer-specified third-party sources (“Third-Party Content”).

  • No Rights Granted: Versable does not own or license Third-Party Content; all rights belong to their respective owners.
  • Informational Use Only: Third-Party Content is provided solely for informational and internal reference purposes.
  • Customer Responsibility: You are solely responsible for determining whether your use of Third-Party Content complies with applicable laws, including obtaining necessary licenses or permissions for public or commercial use.
  • Indemnification: You agree to defend, indemnify, and hold harmless Versable from any claims, damages, or liabilities arising from your use of Third-Party Content in violation of these Terms.

6. Proprietary Rights

All rights, title, and interest in the Services, including but not limited to software, algorithms, processing methods, templates, and designs, are and will remain the exclusive property of Versable or its licensors. Nothing in these Terms transfers any intellectual property rights except the limited licenses expressly granted herein.

7. Prohibited Uses

You may not:

  • Violate any applicable laws, regulations, or third-party rights.
  • Circumvent access controls or scrape non-public sources without authorization.
  • Upload malicious code or interfere with the Services.

8. Fees & Payment

If you subscribe to a paid plan, you agree to pay all fees in accordance with your selected plan. All fees are non-refundable except as required by law or expressly stated in writing by Versable.

9. Disclaimers

THE SERVICES AND ALL CONTENT (INCLUDING AI OUTPUTS AND THIRD-PARTY CONTENT) ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. VERSABLE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE ERROR-FREE OR THAT ANY AI OUTPUTS WILL BE COMPLETE OR ACCURATE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • VERSABLE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. * OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO VERSABLE IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Versable and its officers, employees, and contractors from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your use of the Services, AI Outputs, or Third-Party Content;
  • Your violation of these Terms;
  • Your infringement of any third-party rights.

12. Termination

We may suspend or terminate your access to the Services at any time, for any reason or no reason, with or without notice. Upon termination, Sections 3–11 will survive.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, where Versable is incorporated, without regard to conflict-of-law principles. You agree that the exclusive venue for any disputes will be in the state or federal courts located in Delaware.
